You may not reproduce, resell, distribute, create derivative works, translate, transmit, post, republish, exploit, copy, or otherwise use our Products for any commercial or non-personal purpose.

Your License is granted solely for your individual use. You may not assign any of your rights or transfer any of your obligations under this Agreement to any other person or entity.

If we determine that you have violated any provision of this Agreement, including any violation of the License granted herein, we reserve the right to terminate your access to the Products and seek recovery of any damages to which we may be entitled.

Please do not upload, post, send, email, or otherwise make available any material that contains confidential or proprietary information.

When you purchase any Product through the Website, you are responsible for all applicable fees and taxes. It is your responsibility to provide complete, accurate, and up-to-date billing and payment information. If you are enrolled in a payment plan or recurring payment arrangement, it is your responsibility to maintain a current and valid payment method. If your payment method is declined or expires, you agree to pay all applicable fees and taxes due upon demand. This Agreement, and any dispute arising out of or relating to this Agreement, shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.

We reserve the right to seek injunctive or other equitable relief as necessary to protect our rights, property, and Intellectual Property.

Any legal action or proceeding arising out of or relating to this Agreement that is not subject to binding arbitration shall be brought exclusively in the state or federal courts located within the Commonwealth of Massachusetts. You hereby irrevocably and unconditionally consent to the personal and subject matter jurisdiction of such courts for the purpose of any such action or proceeding.

You agree that any dispute arising out of or relating to this Agreement shall be resolved solely between you and A Touch of Magick LLC.

YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST A TOUCH OF MAGICK LLC. YOU FURTHER AGREE THAT ANY CLAIM YOU ASSERT SHALL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

These Terms & Conditions, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and A Touch of Magick LLC with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, representations, and communications, whether written or oral.

We reserve the right, in our sole discretion, to terminate this Agreement and to terminate, restrict, suspend, or deny your access to the Website or any Products at any time, for any reason, and without prior notice. We further reserve the right to discontinue the Website or any Products, in whole or in part, at any time without prior notice.

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

Our failure to enforce any provision of this Agreement or to exercise any right or remedy shall not constitute a waiver of such right, remedy, or provision. Any waiver shall be effective only if made in writing.

The section headings contained in this Agreement are provided solely for convenience and shall not affect the interpretation of any provision of this Agreement.

This Agreement shall be binding upon and inure to the benefit of A Touch of Magick LLC and its successors, heirs, executors, administrators, legal representatives, assigns, affiliates, and permitted successors. Nothing contained in this Agreement shall be construed to confer any rights or remedies upon any person or entity other than the parties to this Agreement. You may not assign or transfer any of your rights or obligations under this Agreement without our prior written consent.

If any legal action or proceeding is brought to enforce or interpret this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys' fees, court costs, and other expenses incurred in connection with such action, in addition to any other relief to which it may be entitled.
